ARTICLE I: NAME: AI Care Agents 24/7.
The name of this corporation is AI Care Agents 24/7.
ARTICLE II: CORPORATE STATUS
This corporation is a nonprofit public benefit corporation and is not organized for the private gain of any person. It is organized under the California Nonprofit Public Benefit Corporation Law for charitable and educational purposes.
ARTICLE III: PURPOSES
A. This corporation is organized and operated exclusively for charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code.
B. The specific purpose of this corporation is to provide free education, coaching, and hands-on services in artificial intelligence, automation, and related technologies to underserved and less technically proficient nonprofit organizations, helping bridge the digital divide and promote equity in technology access. This includes:
Delivering free and donation based services, AI workshops, compliance training (HIPAA, FERPA, GDPR, CCPA), and 24/7 technical support.
Developing secure, compliant systems for donor engagement and data management.
Offering Remote Services and Education of AI Agents and AI automation setup for nonprofits.
ARTICLE IV: DEDICATION OF ASSETS
The property of this corporation is irrevocably dedicated to charitable and educational purposes. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its members, directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III.
Upon the dissolution or winding up of the corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation, or corporation that is organized and operated exclusively for charitable purposes and has established its tax-exempt status under Section 501(c)(3) of the Internal Revenue Code.
