Board Resolution: Establishment of the “Certified AI Compliance Officer” Program

RESOLUTION TO APPROVE INTERNAL CERTIFICATION PROGRAM

WHEREAS, the Board of Directors of AICAREAGENTS247 NONPROFIT CORPORATION recognizes its duty under California nonprofit law to ensure the highest standards of ethical, transparent, and legally-compliant operations in the field of artificial intelligence; WHEREAS, AICAREAGENTS247’s mission is to advance education and technology in AI, and to provide nonprofit, business, and healthcare sectors—including the technically underserved—with cutting-edge compliance resources, training, and certifications; WHEREAS, the Board affirms that the proposed “Certified AI Compliance Officer” program (CAICO) uniquely addresses regulatory demands for nonprofit, business, and healthcare AI compliance, integrates state-specific education (CCPA, SB 942, AB 2013), hands-on mock experience, and standardized examination, and is the only nonprofit-developed, mission-driven certification of this breadth in California;

WHEREAS, detailed fee structures, program content, public transparency, and reinvestment of all revenue into mission-related program costs (as regularly reviewed via annual California RRF-1 and IRS Form 990 filings) ensure strict alignment with California nonprofit statutes and IRS requirements;

NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors hereby establishes and approves the "Certified AI Compliance Officer" program, as fully described in the attached program guidelines, to be effective immediately;

BE IT FURTHER RESOLVED, that the Board authorizes the Executive Director to implement, manage, and operate the program, and to issue certificates solely to candidates who meet all established criteria, including completion of coursework, mock audits, and final examination;

BE IT FURTHER RESOLVED, that public financial accountability, fee justification, and ongoing legal compliance remain standing requirements for all program activities, and that access and equity shall be promoted through sliding-scale, scholarship, and free resource options for under-resourced organizations.

Bylaws of AICAREAGENTS247 NONPROFIT CORPORATION

ARTICLE I – NAME

The name of this organization shall be AICAREAGENTS247 NONPROFIT CORPORATION.

ARTICLE II – PURPOSE

The purpose of this organization is to advance education and technology in artificial intelligence across the nonprofit, business, and healthcare sectors; to provide educational resources and professional training—especially to technically underserved nonprofit organizations—in full compliance with California nonprofit law and best practices.

ARTICLE III – MEMBERSHIP

The organization shall have two voting members:

  • California Institute of Applied Technology (CIAT)

  • International Compliance Association (ICA)

ARTICLE IV – BOARD OF DIRECTORS

Section 1. Composition and Duties:
The Board of Directors shall manage organizational affairs, ensuring legal, financial, and program oversight, and shall act to uphold the public benefit and mission.

Section 2. Number and Term:
The Board shall consist of not fewer than three (3) and not more than nine (9) Directors, elected for two-year terms.

Section 3. Meetings:
The Board must convene at least quarterly. A majority of the Directors constitutes a quorum.

Section 4. Officers:
Officers, President, Secretary, and Treasurer are elected annually by the Board.

Section 5. Duties:
Officers and directors shall perform those duties described in these bylaws and as assigned by the Board.

ARTICLE V – COMMITTEES

The Board may establish committees as necessary to achieve the organization’s mission.

ARTICLE VI – AMENDMENTS

These Bylaws may be amended by a two-thirds vote of the Board of Directors.

ARTICLE VII – DISSOLUTION

Upon dissolution, assets shall be distributed to another California nonprofit with a similar educational and public-benefit mission.

R.T.’s leadership ensures that AICAREAGENTS247 is more than a nonprofit, it’s a movement for equity, opportunity, and empowerment. His work has already touched countless lives, and his vision continues to guide the organization as it grows, adapts, and leads the way in AI and technology education.

Myesha H. (LAUSD Educator) – Documented Executive Board Member: We are honored to have Myesha Hill as a dedicated board member at AICAREAGENTS247. With over 20 years of experience as a teacher for students with disabilities in the Los Angeles Unified School District (LAUSD), Myesha is a true champion for accessibility, inclusion, and educational equity. Not only is Myesha an expert in special education, but she is also a California certified AI Compliance Officer educated in AI Compliance for healthcare, nonprofits, and Business. She ensures that our curriculum makes learning easier and more engaging for all. Making technology accessible, understandable, and empowering for all especially those who have traditionally been left behind. Her leadership ensures that our programs are not only innovative but also truly inclusive.

Eric W. (AI Educator for disabled athletes- Legendary NFL Redskins Player) Documented Executive Board Member. We are proud to have Eric Whitfield on our board, a name synonymous with excellence, leadership, and integrity both on and off the field. Eric is a former NFL player for the Washington Redskins and a standout Bruins player for UCLA But his impact goes far beyond athletics. Today Eric is helping disabled athletes and more, understand AI. With over a decade of experience in marketing and technology, Eric is a recognized technical expert. He has a deep understanding of AI agents, automation, and digital transformation skills that are critical to our mission of empowering underserved communities with cutting-edge technology. We are honored to work with him.

Adriana Pascacio. (Behavioral Health Services Supervisor, Hiring manager at BHS)- Documented Executive Board Member Adriana Pascacio is a dedicated Behavioral Health Services Supervisor with over 12 years of passionate commitment to improving the lives of underserved communities. Throughout her extensive career, Adriana has successfully facilitated housing, employment, and educational opportunities for thousands of individuals through her tireless work with Behavioral Health Services. Her deep compassion, leadership, and unwavering advocacy have made a profound impact on countless lives. We are truly honored to have Adriana as a valued member of our Executive Board, where her expertise and heartfelt dedication continue to inspire and guide our mission. Ratasha K. (Legendary Rodney King’s Sister-Educator, Tax and Appreciated Property Specialist)-Documented Executive Board Member. Ratasha K. is a remarkable Executive Board Member with over 10 years of experience specializing in nonprofit taxes and law. Through her expertise and dedication, she has successfully empowered thousands of underserved individuals and communities, helping them achieve financial stability and legal clarity. Her commitment to justice and equity shines through in every endeavor she undertakes. As the sister of the late Rodney King, whose courage became a catalyst for change during the L.A. 3. Certification Program Proposal
The Executive Director presented the detailed proposal for the "Certified AI Compliance Officer" (CAICO) program, including:

Curriculum spanning nonprofit, business, and healthcare compliance

Adherence to current California laws (CCPA, SB 942, AB 2013

Transparent, nonprofit-justified fee structure and full reinvestment of revenues

Public accountability (annual filings, financial transparency)

Program delivery through online coursework, live sessions, mock audits, and standardized exams

Equitable access via scholarships and resource support

Discussion:

The board has affirmed that the program will set a new standard for compliance, ethics, and training in alignment with the organizational mission and California nonprofit law.
